Acceptance of Terms
By accessing, browsing, or using the HaloVoice platform ("Platform") operated by S2 Data Systems ("Company", "we", "us", "our"), located at halovoice.in, in any manner, you ("User", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Security Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately discontinue use of our Platform. These Terms constitute a legally binding agreement between you (or the entity you represent) and S2 Data Systems. Your continued use of the Platform following any modifications to these Terms constitutes acceptance of those modifications. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
Eligibility
You must be at least eighteen (18) years of age to use the HaloVoice Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding agreements. If you are using the Platform on behalf of a business entity, you further represent and warrant that you are authorized to accept these Terms on behalf of that entity and that the entity agrees to be bound by these Terms. HaloVoice reserves the right to request proof of age or authorization at any time and to suspend or terminate accounts that do not meet these eligibility requirements.
Description of Service
HaloVoice provides an AI-powered voice agent platform for business communications, including but not limited to: outbound and inbound AI voice calling, call recording and transcription, AI-generated call summaries and analytics, bulk voice campaign management, knowledge base management (document uploads including PDFs), lead and contact management, phone number provisioning, Do Not Call (DNC) and compliance management, and integration with third-party services. The Platform is provided on an "as is" and "as available" basis. HaloVoice reserves the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice, and shall not be liable to you or any third party for any such modification, suspension, or discontinuation. Features, functionality, and pricing are subject to change at HaloVoice's sole discretion.
Account Registration and Security
You must provide accurate, complete, and current information when creating an account. You are solely responsible for maintaining the confidentiality of your account credentials, including passwords and API keys, and for all activities that occur under your account, whether or not authorized by you. You agree to: (a) provide true and accurate registration information; (b) maintain and promptly update your account information; (c) maintain the security of your account by not sharing credentials with unauthorized parties; (d) notify HaloVoice immediately at support@halovoice.in of any unauthorized access or security breach; and (e) accept responsibility for all activities under your account. HaloVoice reserves the right to suspend, restrict, or terminate any account at any time, for any reason, including but not limited to suspected violations of these Terms, fraudulent activity, abuse of the Platform, non-payment, or inactivity, without prior notice or liability. You may not create multiple accounts to circumvent Platform limitations or restrictions.
License Grant
Subject to your compliance with these Terms, HaloVoice grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business purposes during the term of your subscription. This license does not include any right to: (a) sublicense, resell, distribute, or make the Platform available to third parties; (b) modify, adapt, translate, or create derivative works based on the Platform; (c) reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Platform; (d) copy, frame, or mirror any part of the Platform; (e) access the Platform for purposes of building a competitive product or service; or (f) use the Platform in any manner that exceeds the scope of the license granted herein. HaloVoice reserves all rights not expressly granted in these Terms.
User Responsibilities and Prohibited Uses
You agree to use HaloVoice only for lawful purposes and in compliance with these Terms and all applicable laws. You shall not, and shall not permit any third party to: (a) use the Platform to make unsolicited calls, spam, or engage in any form of harassment, threats, or abuse; (b) use the Platform for any illegal purpose, including fraud, impersonation, or deception; (c) upload or transmit viruses, malware, or other harmful code; (d) attempt to gain unauthorized access to the Platform, other accounts, or any systems or networks connected to the Platform; (e) interfere with or disrupt the integrity or performance of the Platform; (f) scrape, crawl, or use automated means to extract data from the Platform without express written consent; (g) use the Platform to place calls to emergency services (911, 112, or equivalent); (h) use the Platform to make calls that violate call recording laws or wiretapping statutes; (i) use the Platform to place robocalls or autodial calls in violation of applicable law; (j) transmit content that is defamatory, obscene, threatening, or that violates any intellectual property rights; (k) circumvent or attempt to circumvent any usage limits, rate limits, or technical restrictions; (l) resell, rent, or lease access to the Platform to third parties; or (m) use the Platform in any manner that could damage, disable, overburden, or impair the Platform. Violation of these prohibited uses may result in immediate account termination without refund.
AI-Generated Content Disclaimer
The HaloVoice Platform utilizes artificial intelligence and machine learning technologies, including third-party AI services from OpenAI, Cartesia, and Sarvam AI, to generate voice responses, call transcripts, summaries, analytics, and other outputs ("AI Outputs"). You acknowledge and agree that: (a) AI Outputs may contain errors, inaccuracies, omissions, or hallucinations and should not be relied upon as the sole basis for any decision; (b) AI Outputs do not constitute legal, medical, financial, tax, professional, or any other form of specialized advice; (c) you are solely responsible for reviewing, verifying, and validating all AI Outputs before acting upon them or sharing them with third parties; (d) HaloVoice makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of AI Outputs for any particular purpose; (e) AI models may produce different outputs for the same input and may evolve over time; and (f) HaloVoice shall not be liable for any decisions, actions, losses, or damages arising from reliance on AI Outputs. You agree to hold HaloVoice harmless from any claims arising from the use or misuse of AI-generated content.
Call Recording and Consent
The HaloVoice Platform records, transcribes, and processes voice calls as a core feature of the service. By using the Platform, you acknowledge that: (a) all calls made through or received by the Platform may be recorded, transcribed, and analyzed by AI; (b) YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE for obtaining all necessary consents, permissions, and authorizations from call recipients and all parties to a call before recording, in compliance with all applicable federal, state, local, and international laws, including but not limited to two-party consent states and jurisdictions; (c) HaloVoice does not obtain consent from call recipients on your behalf; (d) failure to obtain proper consent may result in civil and criminal liability for you, not HaloVoice; (e) you shall provide appropriate disclosures to call recipients regarding recording and AI processing; and (f) HaloVoice shall have no liability for your failure to comply with call recording consent requirements. You indemnify HaloVoice against all claims arising from your failure to obtain proper recording consent.
Telephony Compliance
You are solely and exclusively responsible for ensuring that your use of HaloVoice, including all call content, recipient lists, campaign configurations, and calling practices, complies with all applicable telecommunications and telemarketing laws and regulations, including but not limited to: (a) the Telephone Consumer Protection Act (TCPA) and FCC regulations in the United States; (b) the Telecom Regulatory Authority of India (TRAI) regulations and the National Do Not Call (NDNC) Registry in India; (c) the General Data Protection Regulation (GDPR) and the ePrivacy Directive in the European Union; (d) the Canadian Anti-Spam Legislation (CASL) in Canada; (e) any applicable state, provincial, or local telemarketing laws, including Do Not Call (DNC) and Do Not Disturb (DND) registries; and (f) all other applicable laws governing automated calls, prerecorded messages, and AI-generated voice calls. HaloVoice provides compliance tools including DNC list management as aids, but these tools do not guarantee regulatory compliance. HaloVoice shall not be held liable for any regulatory violations, fines, penalties, enforcement actions, or legal consequences arising from your use of the Platform. You are responsible for consulting legal counsel regarding your specific compliance obligations.
Telemarketing Safe Harbor
HaloVoice is a platform provider and technology service only. HaloVoice is NOT a telemarketer, telephone solicitor, or caller as defined under the Telephone Consumer Protection Act (TCPA), the Telecom Regulatory Authority of India (TRAI) regulations, or any other applicable telemarketing laws and regulations. HaloVoice does not place calls on behalf of users, does not control the content of calls, and does not determine the recipients of calls. Users of the Platform are solely and exclusively the "caller" under TCPA, TRAI, and all applicable federal, state, local, and international telemarketing laws. Users bear full responsibility for ensuring that all calls placed through the Platform comply with all applicable telemarketing regulations, including but not limited to obtaining prior express written consent, honoring Do Not Call (DNC) and Do Not Disturb (DND) registries, and adhering to time-of-day calling restrictions. HaloVoice has no liability whatsoever for any TCPA violations, TRAI violations, or any other telemarketing law violations committed by users of the Platform. Users shall indemnify and hold harmless HaloVoice from all claims, fines, penalties, and damages arising from users' telemarketing activities.
Caller ID Authentication and Spoofing
By using the HaloVoice Platform, you represent and warrant that: (a) you own or have obtained proper written authorization to use all phone numbers displayed as caller IDs on calls placed through the Platform; (b) you shall not engage in caller ID spoofing, which means transmitting misleading or inaccurate caller identification information with the intent to defraud, cause harm, or wrongfully obtain anything of value, in violation of the Truth in Caller ID Act (47 U.S.C. 227(e)), FCC rules, or any other applicable laws; (c) you shall comply with the STIR/SHAKEN (Secure Telephone Identity Revisited / Signature-based Handling of Asserted information using toKENs) framework and all FCC Caller ID authentication requirements, including any attestation level requirements applicable to your calls; (d) you shall comply with all applicable caller ID rules and regulations in every jurisdiction where your calls are received; and (e) you shall not use the Platform to make calls that misrepresent the identity of the caller or the purpose of the call. HaloVoice will fully cooperate with law enforcement agencies, regulatory authorities, and telecommunications providers in investigating any suspected caller ID fraud, spoofing, or related violations. Violation of this section shall result in immediate account termination without refund and may result in referral to law enforcement authorities.
Synthetic Voice and AI Disclosure
You acknowledge that the HaloVoice Platform uses artificial intelligence to generate synthetic voice outputs for calls. You represent and warrant that: (a) you will disclose to call recipients within the first few seconds of any call that the voice they are hearing is AI-generated or synthetic, wherever such disclosure is required by applicable law, regulation, or industry standard; (b) you will comply with all applicable laws requiring disclosure of AI-generated or synthetic voice content, including but not limited to state-level AI disclosure laws in the United States (including but not limited to laws enacted in California, New York, Washington, Colorado, and other states), the European Union AI Act, and any other applicable regulations; (c) you will not use AI-generated voice to impersonate any real individual without their explicit written consent; and (d) you will not use AI-generated voice for deceptive, fraudulent, or misleading purposes. You assume full and exclusive liability for any failure to make required AI or synthetic voice disclosures. Several U.S. states and international jurisdictions have enacted or are enacting laws that require explicit disclosure when AI-generated or synthetic voices are used in communications, and you are solely responsible for staying informed of and complying with all such requirements. HaloVoice disclaims all liability for users' failure to provide required disclosures.
Emergency Services Disclaimer
HALOVOICE IS NOT AN EMERGENCY CALLING SERVICE AND DOES NOT SUPPORT CALLS TO EMERGENCY SERVICES. The HaloVoice Platform does NOT support Enhanced 911 (E911), 911, 112, or any other emergency calling services in any jurisdiction. The Platform MUST NOT be used as a substitute for traditional telephone service or relied upon for emergency communications under any circumstances. HaloVoice does not route calls to emergency service providers, does not transmit caller location information to emergency dispatchers, and cannot guarantee that any call will be connected to emergency services. HALOVOICE HAS ZERO LIABILITY FOR ANY INABILITY TO REACH EMERGENCY SERVICES THROUGH THE PLATFORM, INCLUDING ANY DAMAGES, INJURIES, OR LOSSES RESULTING FROM SUCH INABILITY. You acknowledge and agree that you will maintain alternative means of contacting emergency services at all times and will not rely on the Platform for any emergency communication needs. If you require emergency assistance, you must use a traditional telephone, mobile phone, or other service that supports emergency calling.
Robocall Compliance
You represent and warrant that your use of the HaloVoice Platform complies with all applicable robocall regulations and restrictions, including but not limited to: (a) the Federal Communications Commission (FCC) rules and orders regarding automated telephone equipment, autodialed calls, and prerecorded or artificial voice messages; (b) the Federal Trade Commission (FTC) Telemarketing Sales Rule (TSR), including all requirements regarding prior express written consent, abandoned call rates, and opt-out mechanisms; (c) all applicable state-level robocall and autodialer laws in every U.S. state and territory where your calls are received, including states with private rights of action for robocall violations; (d) all international robocall regulations applicable to your calling activities, including but not limited to TRAI regulations in India, Ofcom regulations in the United Kingdom, ACMA regulations in Australia, and CRTC regulations in Canada; and (e) any industry self-regulatory guidelines or best practices applicable to automated calling. You assume one hundred percent (100%) liability for all robocall complaints, regulatory actions, fines, penalties, and legal proceedings arising from your use of the Platform. HaloVoice reserves the right to immediately suspend or terminate your account upon receiving any robocall complaint or notice of regulatory investigation related to your calling activities.
Payment and Billing
By subscribing to a paid plan or purchasing credits, you agree to pay all fees associated with your selected plan or purchase. Payment is processed through Stripe, and you agree to Stripe's terms of service in addition to these Terms. ALL FEES, CHARGES, AND PAYMENTS ARE STRICTLY NON-REFUNDABLE. Once a payment is processed, no refunds, credits, pro-rated adjustments, or chargebacks will be issued under any circumstances whatsoever, including but not limited to: (a) cancellation of your subscription before the end of a billing cycle; (b) unused minutes, agent slots, phone numbers, or any other resources within your plan; (c) downgrading to a lower-tier plan; (d) dissatisfaction with the Platform or any feature thereof; (e) account suspension or termination due to violation of these Terms; (f) failure to use the Platform during any billing period; (g) service outages, interruptions, or performance issues; (h) changes to Platform features or functionality; (i) errors in AI outputs or call handling; or (j) any other reason. BY COMPLETING A PURCHASE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU ARE NOT ENTITLED TO ANY REFUND FOR ANY REASON AND THAT ALL SALES ARE FINAL. HaloVoice reserves the right to change pricing, fees, or billing terms at any time with thirty (30) days notice. Failure to pay outstanding fees may result in immediate suspension or termination of your account. You are responsible for all applicable taxes, duties, and levies. Disputed charges must be reported within fifteen (15) days of the billing date; failure to report within this period constitutes irrevocable acceptance of the charges.
Wallet, Prepaid Credits, and Chargebacks
Any prepaid credits, wallet balances, or prepaid minutes purchased on the Platform are strictly non-refundable, non-transferable, and cannot be redeemed for cash. Prepaid credits expire immediately upon account termination, whether initiated by you or by HaloVoice, and no compensation shall be provided for unused credits. Credits have no cash value and may not be sold, bartered, or transferred to any other account or person. HaloVoice reserves the right to modify credit pricing, expiration policies, and usage terms at any time. INITIATING A CHARGEBACK, PAYMENT DISPUTE, OR REVERSAL WITH YOUR BANK OR PAYMENT PROVIDER WITHOUT FIRST ATTEMPTING TO RESOLVE THE ISSUE WITH HALOVOICE SUPPORT AT support@halovoice.in SHALL RESULT IN IMMEDIATE AND PERMANENT ACCOUNT TERMINATION, FORFEITURE OF ALL DATA AND CREDITS, AND MAY RESULT IN COLLECTION ACTIONS FOR THE DISPUTED AMOUNT PLUS ALL ASSOCIATED COSTS AND FEES. You agree that any chargeback initiated without prior good-faith communication with HaloVoice constitutes a breach of these Terms.
Subscription Auto-Renewal and Cancellation
Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually, as applicable) at the then-current rate unless cancelled before the renewal date. You may cancel your subscription at any time by contacting support@halovoice.in or through your account settings. Cancellation takes effect at the end of the current billing period; you will continue to have access until that date. No refunds or pro-rated credits will be issued for the remaining portion of the current billing period after cancellation. If you cancel, you are still responsible for all charges incurred prior to the effective cancellation date. HaloVoice reserves the right to modify subscription plans, pricing, and features upon thirty (30) days written notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.
Intellectual Property
The HaloVoice Platform, including all software, source code, algorithms, AI models, machine learning models, designs, logos, trademarks, service marks, trade names, documentation, APIs, user interfaces, and all other content created by HaloVoice (collectively, "HaloVoice IP"), is the exclusive property of S2 Data Systems and is protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws. Nothing in these Terms transfers any ownership of HaloVoice IP to you. You retain ownership of the data and content you upload to the Platform ("User Content"). Any feedback, suggestions, ideas, enhancement requests, or recommendations you submit to HaloVoice regarding the Platform become the exclusive property of HaloVoice, and you hereby assign all right, title, and interest in such feedback to HaloVoice. HaloVoice may use such feedback without any obligation, compensation, or attribution to you.
User Content License
By uploading, submitting, or transmitting any content to the Platform, including but not limited to documents, PDFs, knowledge base materials, contact lists, call scripts, recordings, and any other data ("User Content"), you grant HaloVoice a worldwide, royalty-free, non-exclusive, sublicensable license to use, process, store, reproduce, modify, analyze, and display your User Content solely as necessary to: (a) provide, operate, and maintain the Platform and services; (b) improve and optimize the Platform's functionality and AI models; (c) generate aggregated, anonymized, or de-identified analytics and insights; and (d) comply with applicable laws and legal obligations. You represent and warrant that: (i) you own or have all necessary rights, licenses, and permissions to upload and share the User Content; (ii) the User Content does not infringe upon any third-party intellectual property rights, privacy rights, or other rights; and (iii) the User Content complies with all applicable laws. HaloVoice is not responsible for the accuracy, legality, quality, or appropriateness of User Content.
Data Retention and Deletion
HaloVoice retains your data for as long as your account is active and as necessary to provide the Platform services. Upon account termination, HaloVoice will retain your data for a grace period of thirty (30) days, during which you may request an export of your data by contacting support@halovoice.in. After the grace period, HaloVoice may permanently delete all account data, including call recordings, transcripts, contacts, knowledge base documents, campaign data, and any other User Content. Certain data may be retained beyond the grace period as required by applicable law, regulation, or legitimate business purposes, including audit, compliance, dispute resolution, and legal hold obligations. Aggregated, anonymized, or de-identified data may be retained indefinitely. HaloVoice shall not be liable for any data lost after the expiration of the retention period. You are solely responsible for maintaining your own backups of critical data.
Third-Party Integrations and Services
The HaloVoice Platform integrates with and relies upon third-party services, including but not limited to: Twilio (telephony and communications), OpenAI (language models, voice synthesis), Cartesia (voice synthesis), Sarvam AI (voice processing), Pinecone (vector database), Vobiz (SIP trunk), Cal.com (scheduling), and Stripe (payment processing). You acknowledge and agree that: (a) these third-party services are governed by their own terms of service, privacy policies, and acceptable use policies, which you are responsible for reviewing and complying with; (b) HaloVoice is not responsible for the availability, performance, accuracy, or security of third-party services; (c) third-party service outages, changes, or discontinuations may affect Platform functionality, and HaloVoice shall not be liable for any such disruptions; (d) data transmitted to third-party services is subject to their respective data handling practices; and (e) HaloVoice makes no warranties regarding third-party services and disclaims all liability arising from your use of or reliance on such services. Any issues with third-party services should be directed to the respective third-party provider.
API Usage Terms
If you access the HaloVoice Platform via APIs, you agree to the following additional terms: (a) API access is subject to rate limits, usage quotas, and fair use policies as determined by HaloVoice and communicated through API documentation; (b) you shall not exceed published rate limits or attempt to circumvent any usage restrictions; (c) API keys and authentication tokens are confidential and must be protected; you are responsible for all activity under your API credentials; (d) HaloVoice reserves the right to throttle, suspend, or revoke API access at any time for any reason, including abuse, excessive usage, or security concerns; (e) you shall not use APIs to build a competing service or to scrape, harvest, or bulk-extract data; (f) API functionality and endpoints may change without notice; and (g) HaloVoice provides API documentation on an "as is" basis and does not guarantee backward compatibility across versions.
Service Availability and Uptime
HaloVoice strives to maintain high availability of the Platform but does not guarantee any specific uptime percentage or service level unless expressly provided under a separate Enterprise Service Level Agreement (SLA). The Platform may experience scheduled or unscheduled downtime for maintenance, updates, upgrades, or other operational reasons. HaloVoice shall not be liable for any damages, losses, or costs arising from service interruptions, downtime, latency, or degraded performance, regardless of the cause or duration. HaloVoice does not guarantee that the Platform will operate without interruption, errors, bugs, or defects. Scheduled maintenance windows will be communicated through reasonable efforts but are not guaranteed. You acknowledge that telecommunications services, including voice calls, are inherently subject to interruptions and quality variations beyond HaloVoice's control.
Disclaimer of Warranties
THE HALOVOICE PLATFORM, INCLUDING ALL CONTENT, FEATURES, AI OUTPUTS, CALL RECORDINGS, TRANSCRIPTIONS, ANALYTICS, AND ALL OTHER SERVICES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. HALOVOICE AND S2 DATA SYSTEMS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. HALOVOICE DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE PLATFORM WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) THE QUALITY OF ANY AI OUTPUTS, TRANSCRIPTIONS, OR ANALYTICS WILL MEET YOUR EXPECTATIONS; (D) ANY ERRORS WILL BE CORRECTED; OR (E) THE PLATFORM WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE PLATFORM ENTIRELY AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM HALOVOICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HALOVOICE, S2 DATA SYSTEMS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, SUPPLIERS, OR AFFILIATES (COLLECTIVELY, "HALOVOICE PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO: (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) ANY AI OUTPUTS, TRANSCRIPTIONS, OR ANALYTICS GENERATED BY THE PLATFORM; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; (D) THIRD-PARTY SERVICE FAILURES OR DISRUPTIONS; (E) ANY CALLS MADE OR RECEIVED THROUGH THE PLATFORM; (F) ANY CONTENT OR CONDUCT OF ANY THIRD PARTY ON THE PLATFORM; OR (G) ANY OTHER MATTER RELATING TO THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, PRODUCT LIABILITY, OR OTHERWISE), EVEN IF HALOVOICE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE HALOVOICE PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE LESSER OF: (I) THE TOTAL AMOUNT PAID BY YOU TO HALOVOICE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (II) ONE HUNDRED UNITED STATES DOLLARS (USD $100). THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS. NOTWITHSTANDING THE FOREGOING, THIS LIMITATION OF LIABILITY DOES NOT APPLY TO: (a) USER'S INDEMNIFICATION OBLIGATIONS UNDER THESE TERMS; (b) USER'S BREACH OF THE LICENSE GRANT SET FORTH IN SECTION 5; (c) USER'S VIOLATION OF APPLICABLE LAW, INCLUDING BUT NOT LIMITED TO TELECOMMUNICATIONS, TELEMARKETING, PRIVACY, AND DATA PROTECTION LAWS; OR (d) CLAIMS ARISING FROM USER'S WILLFUL MISCONDUCT OR FRAUD.
Indemnification
You agree to indemnify, defend, and hold harmless the HaloVoice Parties from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees, court costs, and settlement amounts) arising out of or related to: (a) your use or misuse of the Platform; (b) your violation of these Terms or any applicable law, regulation, or third-party rights; (c) your User Content or data processed through the Platform; (d) your failure to obtain proper consents for call recording or data processing; (e) your violation of any telecommunications, telemarketing, privacy, or data protection laws; (f) any third-party claims related to calls made or received through your account; (g) your breach of any representation or warranty made herein; (h) your negligence or willful misconduct; or (i) any dispute between you and any call recipient or third party. This indemnification obligation shall survive the termination of your account and these Terms. HaloVoice reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with HaloVoice's defense of such claims.
Regulatory Fines and Penalties
You agree to indemnify, defend, and hold harmless HaloVoice and the HaloVoice Parties from and against ALL regulatory fines, penalties, sanctions, enforcement actions, consent decrees, cease-and-desist orders, legal proceedings, investigations, audits, and any associated costs (including legal fees) imposed on or incurred by HaloVoice as a direct or indirect result of your use of the Platform. This indemnification expressly includes, without limitation: (a) fines and penalties under the Telephone Consumer Protection Act (TCPA), including statutory damages of up to $1,500 per violation; (b) penalties imposed by the Telecom Regulatory Authority of India (TRAI) or the Department of Telecommunications (DoT) in India; (c) fines imposed under the General Data Protection Regulation (GDPR), including administrative fines of up to 4% of annual global turnover; (d) enforcement actions by state attorneys general, the Federal Trade Commission (FTC), the Federal Communications Commission (FCC), or any other regulatory body; (e) fines and penalties under the California Consumer Privacy Act (CCPA) or any other state privacy law; and (f) any other regulatory consequences, penalties, or enforcement actions in any jurisdiction arising from your use of the Platform. This indemnification obligation is unlimited in amount, survives termination of these Terms and your account, and applies regardless of whether HaloVoice was aware of the user's specific activities giving rise to the regulatory action.
Class Action Waiver
ANY AND ALL DISPUTE RESOLUTION PROCEEDINGS ARISING OUT OF OR RELATED TO THESE TERMS, THE PLATFORM, OR THE RELATIONSHIP BETWEEN YOU AND HALOVOICE SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. YOU HEREBY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO PARTICIPATE IN, JOIN, OR CONSOLIDATE CLAIMS WITH OTHERS IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, COLLECTIVE ACTION, CONSOLIDATED PROCEEDING, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING AGAINST HALOVOICE OR THE HALOVOICE PARTIES. You agree that no arbitrator or court shall have authority to certify a class or collective action, to consolidate proceedings, or to preside over any form of representative proceeding. You further agree that any dispute resolution proceedings shall be conducted solely between you and HaloVoice on an individual basis and that your claims may not be joined or consolidated with those of any other user or third party. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE IN ANY JURISDICTION BY A COURT OF COMPETENT JURISDICTION, THEN THE ENTIRE ARBITRATION CLAUSE IN THESE TERMS SHALL BE NULL AND VOID FOR THAT JURISDICTION ONLY, AND ANY DISPUTES IN THAT JURISDICTION SHALL PROCEED IN COURTS OF COMPETENT JURISDICTION AS DETERMINED UNDER THE GOVERNING LAW SECTION OF THESE TERMS. This class action waiver is an essential term of these Terms and may not be severed from the arbitration agreement.
Anti-Money Laundering and Sanctions
By using the HaloVoice Platform, you represent and warrant that: (a) you are not listed on, and are not acting on behalf of any person or entity listed on, any sanctions list maintained by the U.S. Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, Her Majesty's Treasury (UK), or any other applicable sanctions authority; (b) you are not located in, organized under the laws of, or a resident of any country or territory that is subject to comprehensive U.S., EU, or UN sanctions or embargoes, including but not limited to Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, and any other embargoed territories as designated from time to time; (c) you shall not use the Platform in any embargoed country or territory or in any manner that would violate applicable sanctions laws; (d) you are in compliance with all applicable anti-money laundering (AML) and know-your-customer (KYC) laws and regulations, including the Bank Secrecy Act (BSA), the USA PATRIOT Act, and the Prevention of Money Laundering Act (PMLA) in India; and (e) you shall not use the Platform to facilitate money laundering, terrorist financing, or any other financial crime. HaloVoice reserves the right to verify your identity, request additional documentation, conduct sanctions screening, and refuse or terminate service to any user that HaloVoice reasonably believes may be in violation of applicable sanctions or AML laws. HaloVoice will cooperate with law enforcement and regulatory authorities in investigating suspected violations.
Export Controls
The HaloVoice Platform, including its software, technology, and technical data, may be subject to export control laws and regulations of the United States, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce, Bureau of Industry and Security (BIS), as well as export control laws of other applicable jurisdictions. You agree that you shall not, directly or indirectly: (a) export, re-export, transfer, or make available the Platform or any related technology to any country, territory, person, or entity in violation of applicable export control laws; (b) use the Platform in any country or territory subject to comprehensive U.S., EU, or UN trade sanctions or embargoes; (c) provide access to the Platform to any person or entity on the U.S. Denied Persons List, Entity List, Unverified List, or any other restricted party list maintained by the U.S. government or other applicable authorities; or (d) use the Platform for any purpose prohibited by applicable export control laws, including the development, design, manufacture, or production of nuclear, chemical, or biological weapons or missile technology. You represent and warrant that you are not located in, and will not provide access to the Platform from, any embargoed country or territory, and that you will comply with all applicable export control laws and regulations in your use of the Platform.
Content Moderation and Section 230
HaloVoice is a platform provider that enables users to conduct AI-powered voice communications. HaloVoice does not monitor, review, screen, or moderate the content of calls made through the Platform in real-time and has no obligation to do so. HaloVoice is a provider of an interactive computer service within the meaning of Section 230 of the Communications Decency Act (47 U.S.C. 230) and equivalent laws in other jurisdictions. As such, HaloVoice is not the publisher or speaker of any user-generated call content, scripts, knowledge base materials, or other communications transmitted through the Platform. HaloVoice shall not be treated as the publisher or speaker of any information provided by users of the Platform and shall not be liable for any user-generated content, including but not limited to the content of calls, call scripts, AI prompts, knowledge base documents, or any other communications. Notwithstanding the foregoing, HaloVoice reserves the right, but has no obligation, to review, remove, or disable access to any content that HaloVoice, in its sole discretion, determines violates these Terms, applicable law, or HaloVoice's acceptable use policies. Users are solely responsible for all content transmitted through the Platform and for ensuring that such content complies with all applicable laws.
AI Bias and Discrimination Disclaimer
You acknowledge and agree that the artificial intelligence and machine learning models used by the HaloVoice Platform, including those provided by third-party AI services, may produce biased, inaccurate, incomplete, or discriminatory outputs. AI models are trained on data that may reflect historical biases, and outputs may vary based on factors including but not limited to language, accent, dialect, demographics, and other characteristics. HaloVoice does not guarantee that AI outputs will be free from bias or discrimination. You assume full and exclusive responsibility for: (a) reviewing all AI-generated outputs, including voice responses, transcriptions, summaries, analytics, and recommendations, for potential bias, inaccuracy, or discriminatory content before relying upon or acting on such outputs; (b) ensuring that your use of AI features on the Platform does not result in unlawful discrimination based on race, color, religion, sex, national origin, age, disability, genetic information, or any other characteristic protected by applicable civil rights laws, including but not limited to Title VII of the Civil Rights Act of 1964, the Americans with Disabilities Act (ADA), the Fair Housing Act, the Equal Credit Opportunity Act, and equivalent laws in other jurisdictions; and (c) implementing appropriate human oversight and review processes for AI-driven decisions that may affect individuals' rights or opportunities. HaloVoice expressly disclaims all liability for any bias, discrimination, or inaccuracy in AI outputs, and you agree to hold HaloVoice harmless from all claims arising from biased or discriminatory AI outputs.
Insurance
HaloVoice strongly recommends that all users of the Platform maintain appropriate and adequate insurance coverage for their business operations, including but not limited to: (a) professional liability insurance (also known as errors and omissions or E&O insurance) covering claims arising from professional services rendered through or in connection with the Platform; (b) commercial general liability insurance; (c) cyber liability insurance covering data breaches, privacy violations, and technology-related claims; (d) media liability insurance covering claims related to call content, advertising, and communications; and (e) any other insurance coverage appropriate for your specific industry, business activities, and regulatory requirements. Insurance coverage should be maintained in amounts sufficient to cover potential liabilities arising from your use of the Platform, including but not limited to TCPA statutory damages, GDPR fines, data breach notification costs, and other regulatory penalties. HaloVoice shall not be liable for any uninsured or underinsured losses incurred by users. The maintenance of insurance coverage by users does not limit or modify users' indemnification obligations under these Terms or any other liability provisions herein.
Termination
Either party may terminate these Terms as follows: (a) You may terminate your account at any time by contacting support@halovoice.in or through your account settings, subject to the cancellation terms in Section 17; (b) HaloVoice may suspend or terminate your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to: breach of these Terms, non-payment, suspected fraudulent or illegal activity, abuse of the Platform, excessive chargebacks, or upon request by law enforcement or regulatory authorities. Upon termination: (i) your right to use the Platform ceases immediately; (ii) all outstanding payment obligations become immediately due and payable; (iii) all prepaid credits and wallet balances are forfeited without refund; (iv) HaloVoice may delete your account data after the retention period specified in Section 20; and (v) no refunds will be issued for any reason. The following provisions shall survive termination: Sections covering intellectual property, user content license, payment obligations, disclaimer of warranties, limitation of liability, indemnification, regulatory fines and penalties, class action waiver, governing law, and dispute resolution.
Force Majeure
HaloVoice shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, earthquakes, floods, hurricanes, pandemics, epidemics, war, armed conflict, terrorism, riots, civil unrest, government actions, sanctions, embargoes, regulatory changes, power failures, internet or telecommunications failures, DNS failures, cyberattacks, distributed denial-of-service attacks, third-party service provider failures (including Twilio, OpenAI, Cartesia, Sarvam AI, Pinecone, Stripe, or cloud hosting providers), labor disputes, strikes, supply chain disruptions, or any other force majeure event. In such circumstances, HaloVoice's obligations shall be suspended for the duration of the force majeure event, and no refunds, credits, or compensation shall be provided for the affected period.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes, claims, or controversies arising out of or relating to these Terms, the Platform, or the relationship between you and HaloVoice ("Disputes") shall be resolved as follows: (a) Negotiation: The parties shall first attempt to resolve any Dispute through good-faith negotiation for a period of at least thirty (30) days by sending a written notice of the Dispute to the other party; (b) Arbitration: If the Dispute is not resolved through negotiation, it shall be finally resolved by binding arbitration administered in Pune, Maharashtra, India, under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, and the language of arbitration shall be English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction; (c) Jurisdiction: For any matters not subject to arbitration, the courts located in Pune, Maharashtra, India shall have exclusive jurisdiction. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection thereto. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. For users located in the United States or the European Union, disputes may also be resolved through binding arbitration administered by the American Arbitration Association (AAA) or the International Chamber of Commerce (ICC) respectively, at the election of HaloVoice. The arbitrator's fees shall be borne equally by both parties unless the arbitrator determines otherwise.
Severability, Entire Agreement, and Waiver
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent, or if modification is not possible, it shall be severed from these Terms. These Terms, together with the Privacy Policy and Security Policy, constitute the entire agreement between you and HaloVoice regarding the use of the Platform and supersede all prior or contemporaneous agreements, understandings, negotiations, representations, and warranties, whether written or oral, regarding the subject matter hereof. HaloVoice's failure to enforce any right or provision of these Terms at any time shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorized representative of HaloVoice. No course of dealing between you and HaloVoice shall modify these Terms.
Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms, in whole or in part, without the prior written consent of HaloVoice. HaloVoice may freely assign, transfer, or delegate its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. Any attempted assignment in violation of this section shall be null and void. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
Electronic Communications
By using the Platform or providing your contact information, you consent to receive electronic communications from HaloVoice, including emails, in-app notifications, and SMS messages, regarding your account, the Platform, service updates, billing, and promotional offers. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing. You may opt out of promotional communications at any time, but you may not opt out of transactional communications related to your account or the Platform.
Modifications to Terms
HaloVoice reserves the right to modify, amend, or replace these Terms of Service at any time at its sole discretion. For material changes, HaloVoice will provide at least thirty (30) days advance notice by posting the updated Terms on this page, sending an email notification to the address associated with your account, or displaying a prominent notice within the Platform. Non-material changes may be made at any time without prior notice. The "Last updated" date at the top of this page indicates when these Terms were last revised. Your continued use of the Platform after the effective date of any modifications constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, your sole and exclusive remedy is to discontinue use of the Platform and close your account before the effective date of the changes.

Such references are made under the doctrine of nominative fair use solely to identify the products or services being discussed and to provide informational comparison and commentary. Any comparisons, characterizations, or evaluations published by HaloVoice represent the company's own opinion and product positioning, are based on publicly available information at the time of publication, and may not reflect the current features, pricing, or capabilities of the referenced products. References to third-party companies do not imply any endorsement, partnership, certification, sponsorship, or affiliation between HaloVoice and those companies, nor do they imply that HaloVoice is endorsed by, certified by, or affiliated with the referenced companies. HaloVoice does not warrant the accuracy of any third-party feature claims, pricing, or specifications referenced in editorial content; users should verify any third-party information directly with the respective company before making decisions. If you are an authorized representative of a company referenced in HaloVoice content and believe a statement is factually inaccurate, please contact info@halovoice.in with a written description of the alleged inaccuracy and supporting documentation, and HaloVoice will review and, where appropriate, correct or remove the content.
